Terms of Service

1. Introduction and Scope

These Terms of Service (“Terms”) govern your use of the Outpeek mobile application and the platform services made available through it. They are published by Outpeek S.R.L., a company incorporated in Italy (“Outpeek”, “we”, “us” or “our”).

These Terms establish the general framework for your relationship with Outpeek as a platform. They do not replicate or supersede the specific terms that apply to particular services:

  • Ticket, Registration and Refund Terms (“Ticket Terms”) — govern ticket purchases, event registrations, refunds, cancellations, and related matters;
  • Organizer Terms — govern organizer accounts, event submission and publication, payouts, chargebacks, and organizer-facing features;
  • Privacy Policy — governs how we process personal data.

These specific documents form part of your agreement with Outpeek and should be read together with these Terms. Where a specific document addresses a topic in more detail, that document governs for that topic. The hierarchy is described further in Section 8.

By creating an account or using the App, you agree to these Terms. If you do not agree, you should not use the App.

2. Definitions

In these Terms, the following capitalised terms have the meanings set out below.

“App” means the Outpeek mobile application for iOS and Android, together with all features and services made available through it.

“Platform Services” means the event discovery, listing, registration, ticketing, ticket wallet, check-in, organiser tools, notifications, location features, and other services made available by Outpeek through the App, as they exist from time to time.

“User” means any natural person who accesses or uses the App as an attendee or general user of the platform. Where a User also registers as an Organizer, the Organizer Terms apply to their organizer activities in addition to these Terms.

“Organizer” means a natural or legal person registered on Outpeek who submits, publishes, or manages events through the App and, for Native Ticketed Events, is identified as the seller of tickets unless expressly stated otherwise for a Co-Produced Event.

“Event” means any event, activity, or occurrence submitted or listed on the App, regardless of event type or applicable ticket flow.

“Native Ticketed Event” means an Event for which ticket purchase or registration is completed entirely within the App using Outpeek's integrated payment infrastructure.

“External Event” means an Event listed on the App for discovery purposes only, where booking or purchase is completed on a third-party platform or external website.

“Co-Produced Event” means an Event expressly designated by Outpeek as a collaborative format (including events presented under the “Outpeek Club” format or another expressly designated co-produced format), for which the allocation of seller status, merchant of record status, refund responsibility, and other operational roles may differ from the standard Organizer-led model and will be specified in the relevant event materials, checkout flow, or separate written arrangement.

“Content” means all text, images, descriptions, media, and other materials submitted, uploaded, or otherwise made available through the App by a User or Organizer.

“User Content” means Content submitted or uploaded by a User who is using the App as an attendee or registered member (for example, a profile picture or bio).

“Organizer Content” means Content submitted or uploaded by an Organizer in connection with an Event or organizer profile (for example, event descriptions, images, and listings).

“Ticket Terms” means the Outpeek Ticket, Registration and Refund Terms published at outpeek.it, as updated from time to time.

“Organizer Terms” means the Outpeek Organizer Terms published at outpeek.it, as updated from time to time.

“Privacy Policy” means the Outpeek Privacy Policy published at outpeek.it/privacy, as updated from time to time.

“Applicable Law” means all laws, regulations, regulatory guidance, and binding decisions applicable to a party or to the subject matter in question in the relevant jurisdiction.

3. Eligibility and Age Requirements

The App is intended for users who are at least 16 years of age. By using the App, you confirm that you are at least 16 years old and have the legal capacity to enter into a binding agreement under the law of your place of residence.

If you use the App on behalf of a legal entity, you confirm that you are authorised to bind that entity to these Terms.

Outpeek reserves the right to suspend or terminate accounts where eligibility requirements are not met, or where we have reasonable grounds to believe that stated information about age or identity is inaccurate.

4. User Accounts

To access certain features of the App, you must create an account. You may register using an email address and password, or via a supported third-party sign-in method (such as Google Sign-In or Apple Sign-In).

When creating or maintaining an account, you must:

  • provide accurate, current, and complete information;
  • keep your account information up to date;
  • keep your login credentials confidential and not share them with any other person;
  • not use another person's account without authorisation;
  • not impersonate any person or entity.

You are responsible for all activity that occurs under your account. If you suspect unauthorised access to your account, you must notify us promptly at support@outpeek.it.

Outpeek may require verification of your identity or account information where reasonably necessary for security, legal compliance, or platform integrity purposes. Where organizer features are used, additional onboarding requirements may apply under the Organizer Terms.

5. Use of the Platform

Outpeek grants you a limited, personal, non-exclusive, non-transferable, revocable licence to use the App in accordance with these Terms for the purposes of discovering events, purchasing or registering for events where available, managing your tickets, and using the other Platform Services made available to you. This licence is granted for personal, non-commercial use of the App only. Nothing in this licence permits you to use the App or any part of it for commercial purposes or outside the context of the Platform Services.

We aim to make the App available on a continuous basis, but we do not guarantee uninterrupted availability. The App is provided on an “as available” basis. We may modify, suspend, or discontinue any feature or part of the Platform Services at any time, with or without notice, where reasonably required for technical, operational, legal, or safety reasons.

Use of the Platform Services is subject to these Terms, the Ticket Terms (where you purchase or register for events), the Organizer Terms (where you use organizer features), and the Privacy Policy.

6. Acceptable Use and Prohibited Conduct

You must use the App only for lawful purposes and in accordance with these Terms. You must not:

  • use the App for any unlawful purpose or in violation of Applicable Law;
  • engage in fraud, deception, or misrepresentation in connection with any transaction or communication through the App;
  • impersonate any person, organisation, or entity, or misrepresent your affiliation with any person or organisation;
  • create event listings that are false, misleading, or designed to deceive users or third parties;
  • purchase, duplicate, transfer, resell, or manipulate tickets in violation of the Ticket Terms or the conditions set by the Organizer;
  • misuse the QR validation, check-in, or organizer tools for any purpose other than their intended function;
  • use automated tools, bots, scripts, or any unauthorised method to scrape, harvest, or extract data from the App;
  • attempt to gain unauthorised access to any account, system, or component of the App;
  • interfere with or disrupt the security, integrity, or performance of the App or its underlying infrastructure;
  • upload, post, or transmit any Content that is unlawful, harmful, defamatory, obscene, infringing, or otherwise objectionable;
  • infringe the intellectual property or privacy rights of Outpeek or any third party;
  • send spam, unsolicited commercial communications, or abuse other users through the App;
  • use the App in any way that could damage Outpeek's reputation or expose Outpeek or its users to legal liability.

Outpeek may investigate suspected violations and may take action including suspension, termination, or reporting to relevant authorities, as described in Section 12.

7. Platform Role and Event Listings

7.1 Outpeek as a Platform Intermediary

Outpeek is a discovery and platform infrastructure provider. It enables Organizers to list events, manage ticketing and registrations, and interact with attendees; and it enables Users to discover, register for, and attend events. Outpeek is not itself an event organiser, ticket seller, or merchant of record for Organizer-led events, except as expressly stated otherwise for a specific Co-Produced Event.

7.2 Native Ticketed Events

For Native Ticketed Events, the Organizer identified in the relevant event listing and/or checkout flow is the legal seller of the ticket and the contractual counterparty of the User for the purchase. Outpeek acts as an intermediary technology platform that facilitates the listing, payment flow, issuance, and QR-based validation of tickets through its platform infrastructure.

Unless expressly stated otherwise for a specific Co-Produced Event, Outpeek is not the legal seller, is not the merchant of record, and does not assume primary economic responsibility for the event or the ticket sale. Detailed rules for Native Ticketed Events — including payment, confirmation, refunds, and cancellations — are set out in the Ticket Terms.

7.3 External Events

For External Events, Outpeek's role is limited to discovery, information display, and redirection. Outpeek is not a party to any transaction formed between the User and an external platform or Organizer following redirection. The terms of the relevant external platform or Organizer govern those transactions.

7.4 Co-Produced Events

For events designated by Outpeek as Co-Produced Events, the allocation of roles — including seller status, merchant of record status, refund responsibility, and promotional obligations — may differ from the standard Organizer-led model. The applicable arrangement will be specified in the relevant event materials, checkout flow, or separate written agreement.

7.5 Event Information

Event listings on the App reflect information provided by Organizers. Outpeek does not independently verify all event information and does not guarantee its accuracy, completeness, or currency. Users should review event-specific conditions before completing a purchase or registration.

8. Relationship with Ticket Terms, Organizer Terms, and Privacy Policy

These Terms operate as the general umbrella agreement for use of the Outpeek platform. They are supplemented by the following specific documents, each of which governs a defined area:

  • Ticket Terms — apply to ticket purchases, free registrations, refunds, cancellations, event access issues, check-in, and related ticketing matters. The Ticket Terms apply when you purchase or register for an event through the App.
  • Organizer Terms — apply to Organizer accounts, event submission and publication, organizer obligations, payouts, chargebacks, organizer access to attendee data, and organizer-facing features. The Organizer Terms apply when you use the App as an Organizer.
  • Privacy Policy — governs the collection, use, storage, and sharing of personal data in connection with the App and Platform Services.

All four documents form part of your agreement with Outpeek. In the event of a conflict or inconsistency between these Terms and a specific document, the specific document prevails with respect to the subject matter it governs. In the event of a conflict between specific documents on matters not addressed by these Terms, the document most specific to the relevant subject matter applies.

9. User Content and Organizer Content

9.1 Ownership

Users and Organizers retain ownership of Content they submit or upload to the App. These Terms do not transfer ownership of Content to Outpeek.

9.2 Licence to Outpeek

By submitting or uploading Content to the App, you grant Outpeek a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, display, distribute, and promote that Content to the extent necessary to operate and provide the Platform Services, and — in the case of Organizer Content — to promote and publicise the relevant event through the App and associated channels.

This licence continues for as long as the Content is made available through the App and for a reasonable period thereafter as required for operational and legal purposes, and terminates when the Content is removed and no longer necessary for platform operations.

9.3 Content Standards

All Content must comply with Applicable Law and must not: infringe the intellectual property, privacy, or other rights of any third party; be false, misleading, or deceptive; be defamatory, obscene, harassing, or harmful; or otherwise violate these Terms.

Outpeek may review, remove, restrict, or take down Content at any time where it reasonably believes the Content violates these Terms, creates legal or reputational risk, or is otherwise inconsistent with platform standards. Outpeek is not obliged to provide prior notice before removing Content.

9.4 No Endorsement

The presence of Content on the App does not constitute Outpeek's endorsement of that Content, the relevant Event, or the Organizer or User who submitted it.

10. Intellectual Property

Outpeek owns or is licensed to use all intellectual property rights in and to the App, including the software, design, interface, trademarks, logos, brand elements, and all platform materials created by or for Outpeek. Nothing in these Terms transfers any ownership of those rights to you.

Subject to these Terms, Outpeek grants you a limited, personal, non-exclusive, non-transferable, revocable right to use the App on your device for your personal use. You may not copy, modify, distribute, reverse-engineer, decompile, or otherwise exploit any part of the App or its content without Outpeek's prior written consent.

If you believe that any Content on the App infringes your intellectual property rights, please contact us at support@outpeek.it.

11. Third-Party Services

Some Platform Services rely on or integrate with third-party services, including:

  • payment processing providers (such as Stripe) for handling transactions in connection with Native Ticketed Events;
  • sign-in providers (such as Google and Apple) for OAuth-based account creation and login;
  • push notification infrastructure (such as Expo, APNs, and FCM) for delivering notifications to your device;
  • mapping services (such as Mapbox) for location-based event discovery;
  • cloud infrastructure providers for hosting and platform operations;
  • external event platforms to which the App may redirect you in connection with External Events.

These third-party services operate under their own terms and privacy policies. Outpeek does not control and cannot guarantee the availability, performance, or compliance of such third-party services. Outpeek is not responsible for the acts, omissions, or data practices of third-party services beyond what Outpeek directly controls through its integration. You are encouraged to review the terms of any third-party service you interact with through the App.

For External Events, once you follow a redirect to a third-party platform, your interaction with that platform is governed by that platform's terms. Outpeek is not a party to transactions concluded on external platforms.

12. Suspension and Termination

12.1 Suspension or Restriction by Outpeek

Outpeek may, at any time and without prior notice where reasonably necessary, suspend, restrict, or limit your access to the App or specific Platform Services if:

  • you breach or we have reasonable grounds to suspect you have breached these Terms, the Ticket Terms, or the Organizer Terms;
  • your account or activity poses a risk of fraud, harm, legal liability, or platform integrity concerns;
  • we are required to do so by law, court order, or a competent regulatory authority;
  • we identify a safety, security, or technical risk requiring immediate action.

Where reasonably practicable, we will notify you of the grounds for suspension. Outpeek may take such action without prior notice where reasonably necessary to protect users, the platform, or compliance with Applicable Law. Where a suspension is found to be in error, we will take reasonable steps to restore access.

12.2 Termination by Outpeek

Outpeek may terminate your account and access to the App where: a suspension has not been resolved within a reasonable period; the breach is serious or repeated; or continued access would create unacceptable legal or operational risk. Termination does not affect obligations already accrued under these Terms or the specific documents.

12.3 Termination by You

You may stop using the App at any time. You may request deletion of your account through the App, subject to the conditions described in the Privacy Policy. Account deletion restrictions applicable to Organizers with active obligations are described in the Organizer Terms.

12.4 Effect of Termination

Upon termination of your account, your right to use the App ceases. Provisions of these Terms that by their nature survive termination — including intellectual property rights, limitation of liability, indemnification, and governing law — continue to apply.

Outpeek may retain records where necessary for legal, safety, accounting, ticketing, or dispute-handling purposes, as described in the Privacy Policy.

13. Disclaimers

To the extent permitted by Applicable Law:

  • The App and Platform Services are provided on an “as is” and “as available” basis. Outpeek does not warrant that the App will be uninterrupted, error-free, or free from security vulnerabilities at all times.
  • Outpeek does not guarantee the accuracy, completeness, or currency of event listings or any other information provided by Organizers on the App. Event information reflects what has been submitted by the relevant Organizer.
  • Outpeek does not guarantee that any Organizer-led event will take place, that it will be delivered as described, or that it will meet any particular standard of quality or content.
  • Outpeek does not guarantee any commercial outcome, revenue, attendance, or results for Organizers using the Platform Services.
  • For External Events, Outpeek does not verify, control, or take responsibility for content, availability, or transactions on third-party platforms.

Nothing in these Terms excludes or limits any statutory rights you may have under Applicable Law that cannot be waived by agreement, including mandatory consumer protection rights.

14. Limitation of Liability

14.1 Outpeek's Liability

To the extent permitted by Applicable Law, Outpeek's liability to you in connection with these Terms and the Platform Services is limited to direct losses caused by Outpeek's own breach of these Terms. Outpeek is not liable for:

  • any failure, cancellation, poor quality, or misconduct of an Organizer-led event;
  • any act, omission, or breach of Applicable Law by an Organizer;
  • failures or interruptions of third-party services, payment providers, external platforms, or infrastructure providers beyond Outpeek's direct control;
  • indirect, consequential, incidental, punitive, or speculative losses, including loss of profit, revenue, data, or business opportunity;
  • losses arising from your own breach of these Terms or your own actions or omissions.

14.2 Mandatory Carve-Outs

Nothing in these Terms excludes or limits Outpeek's liability for: death or personal injury caused by Outpeek's own negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under Applicable Law, including mandatory consumer protection provisions.

14.3 Aggregate Cap

Where permitted by Applicable Law and where Outpeek is found liable for direct losses arising from a specific transaction, Outpeek's aggregate liability shall not exceed the platform fees or service charges, if any, collected directly by Outpeek in connection with that specific transaction, or such other minimum amount as required by Applicable Law. For the avoidance of doubt, the ticket price paid by a User to an Organizer for a Native Ticketed Event does not constitute an amount paid to Outpeek for the purposes of this cap.

15. Indemnification

To the extent permitted by Applicable Law, you agree to indemnify and hold harmless Outpeek, its directors, employees, and agents from and against any claim, liability, loss, damage, or expense (including reasonable legal costs) arising from:

  • your violation of these Terms, the Ticket Terms, or the Organizer Terms;
  • your unlawful or negligent use of the App;
  • Content you submit or upload through the App that infringes the rights of any third party;
  • any misrepresentation made by you in connection with your use of the App.

This indemnification obligation applies only to the extent that the claim is caused by your own acts or omissions and does not extend to losses caused or contributed to by Outpeek's own negligence or breach.

16. Privacy Reference

Outpeek processes personal data in connection with the App as described in the Privacy Policy, available at outpeek.it/privacy. The Privacy Policy explains what data we collect, why, how long we keep it, who we share it with, and what rights you have under applicable data protection law.

By using the App, you acknowledge that your personal data is processed as described in the Privacy Policy. If you have questions or requests relating to your personal data, please contact us at support@outpeek.it or through the contact details in the Privacy Policy.

17. Changes to the Terms

Outpeek may update these Terms from time to time to reflect changes to its services, business model, or Applicable Law. When material changes are made, we will notify you through the App or by other appropriate means before the changes take effect.

Updated Terms will be published on outpeek.it with the effective date clearly indicated. The updated Terms will apply from their effective date. If you do not wish to be bound by the revised Terms, you should stop using the App before the effective date.

18. Governing Law and Disputes

These Terms are governed by Italian law. Where you are a consumer and the law of your place of habitual residence provides mandatory protections that cannot be excluded by a choice-of-law clause, those protections continue to apply.

If you have a complaint or dispute, we encourage you to contact us first at support@outpeek.it so that we can attempt to resolve the matter informally. We will aim to respond within a reasonable timeframe.

Where a dispute cannot be resolved informally, the courts of Turin (Torino), Italy have jurisdiction over any dispute arising out of or in connection with these Terms, without prejudice to any mandatory rights you may have to bring proceedings in your place of habitual residence under Applicable Law.

Nothing in this Section prevents either party from seeking urgent interim relief from a court of competent jurisdiction where necessary.
